Zoom Financial Website Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of zoom-financial.com, including its pages, content, forms, and links (the "Website"). The Website is operated by Prosser Holdings LLC dba Zoom Financial ("Zoom Financial," "Zoom," "we," "us," or "our").
By accessing or using the Website, you agree to these Terms to the extent permitted by applicable law. If you do not agree, do not use the Website.
Website terms only. These Terms do not amend your Retail Installment Sales Contract, payment authorization, communication consent, GPS disclosure, or any other signed transaction document. Those documents control your financing transaction and account.

2. Scope and Contract Priority
These Terms govern only the Website, its content, the public Contact form, and links to separately operated services. They do not govern or modify a vehicle sale or the terms of any Retail Installment Sales Contract, assignment, security agreement, payment authorization, electronic communications consent, telephone or text authorization, GPS disclosure, insurance authorization, guaranty, UCC document, default notice, repossession notice, deficiency notice, or other transaction document.
If these Terms conflict with a signed transaction document, the signed transaction document controls the financing transaction, account, lien, payment obligation, default, repossession, collection, and enforcement rights.
Back to top3. Zoom's Role and Minnesota Operations
Zoom is a Minnesota-based, non-bank automotive finance company. Zoom evaluates financing requests, determines approved terms, funds accepted transactions, acquires Retail Installment Sales Contracts, holds liens, and services financed accounts.
For a transaction assigned to Zoom, Drive Appeal may be the seller on the Retail Installment Sales Contract. Zoom funds Drive Appeal, the contract is assigned to Zoom, and Zoom becomes the assignee, lienholder, account owner, and servicer. The customer owns the vehicle subject to Zoom's lien and the signed transaction documents.
Zoom's underwriting personnel and its approval, pricing, funding, acceptance, account-management, and servicing activities are located in Minnesota. A customer may sign electronically outside Minnesota, and a vehicle may be delivered, titled, registered, or used elsewhere. Nothing in these Terms waives a right or protection that cannot lawfully be waived.
The Website may use general terms such as "loan," "lender," "borrower," or "financing" to describe a retail installment financing transaction. Zoom does not ordinarily make a separate direct loan evidenced by a promissory note.
Back to top4. Drive Appeal, AppCore, and External Applications
Automotive Restyling Concepts, Inc. is a Minnesota corporation under common ownership with Prosser Holdings LLC and is a separate legal entity. It operates under the assumed names Drive Appeal and AppCore.
AppCore operates the external application website linked from Zoom's Website. AppCore may collect an application, match an applicant with a dealership, submit the application through RouteOne, and send it to Zoom or another participating lender. AppCore's terms, privacy policy, credit authorization, and electronic communications disclosures govern information submitted through AppCore.
Clicking Apply Now does not submit an application directly to Zoom and does not guarantee that AppCore will submit the application to Zoom.

The Website is intended only for persons who are at least 18 years old, legally capable of entering into a binding agreement, located in the United States, and using the Website for lawful purposes.
If you use the Website for a business, you represent that you are authorized to act for the business and to provide information about the business, its owners, beneficial owners, and guarantors.
Website access does not mean a product is available in every location. Financing is available only where offered, approved, and permitted by law. Availability may depend on the applicant, participating seller, vehicle, intended use, transaction structure, state, and Zoom's current requirements. Zoom may change geographic or product availability at any time, subject to applicable law.

The application and disclosures presented by AppCore or Drive Appeal govern application collection, distribution, credit authorization, electronic signatures, and electronic communications. These Website Terms do not independently authorize any person to obtain a consumer report, initiate recurring payments, or deliver financing documents electronically.
Information submitted in connection with an application, inquiry, payment, or account must be accurate, current, complete, and lawfully provided. Zoom may verify information through consumer reporting agencies, identity and fraud providers, income and employment providers, public records, dealers, insurers, and other lawful sources.
Zoom may use consumer reports, credit scores, underwriting scorecards, verification services, vehicle valuation, and manual review. Final credit decisions are not made solely by an automated system.
False, incomplete, misleading, or fraudulent information may result in denial, withdrawal of approval, refusal to acquire the transaction, account action permitted by the signed documents, or referral to an appropriate authority.

Nothing on the Website is a guarantee of approval, a commitment to extend credit, a firm offer of credit, or a guarantee of a particular APR, payment, term, down payment, vehicle, refinancing result, or transaction closing.
Approval and final terms may depend on verification, underwriting, credit and income information, vehicle value and condition, title, insurance, deal structure, seller participation, execution of required documents, satisfaction of approval conditions, and applicable law.
Website content is general information and is not legal, tax, accounting, investment, credit-repair, or financial-planning advice.

The Website may link to PayNearMe, a separately operated customer and payment portal that integrates with Zoom's DealPack loan-management system. Available features may include viewing balances and payment history, making or scheduling payments, establishing or canceling recurring payments, changing payment methods, and downloading statements.
PayNearMe's terms, privacy policy, security requirements, and payment authorizations may apply. Portal use does not modify a Retail Installment Sales Contract or other signed transaction document.
You are responsible, to the extent permitted by law, for protecting portal credentials, using accurate payment information, reviewing confirmations, using a secure device, and promptly reporting suspected unauthorized access. Zoom may restrict portal access for security, fraud-prevention, legal, or operational reasons.

Your Retail Installment Sales Contract and separate payment authorizations govern payment amounts, due dates, payment application, fees, default, payoff, prepayment, and recurring-payment terms.
Portal balances may not reflect pending, returned, reversed, or recently posted activity and are not official payoff quotes. Call 763-233-0499 for an official payoff amount.
A submitted payment does not amend the contract, change a due date, waive a default, create a payment arrangement, reinstate an account, prevent collection or repossession, or settle a balance unless Zoom expressly agrees in writing.
Recurring electronic payments are governed by a separate authorization. Canceling recurring payments does not cancel the underlying payment obligation. Zoom may accept customer-authorized payment information by telephone and enter it into PayNearMe, DealPack, or an integrated system. Do not send complete payment credentials through the public Contact form or ordinary email.

Zoom may communicate by telephone, email, text message, voicemail, postal mail, or account portal for application, payment, servicing, delinquency, insurance, security, legal, and customer-service purposes. Consent to a particular communication method is governed by the applicable application or authorization.
Text messages are currently used primarily for account-related purposes. A recipient may generally reply STOP to opt out of the applicable program. Opting out does not cancel an account or prevent communications through another lawful method.
Subject to applicable law, Zoom records and transcribes inbound and outbound calls after providing a recording announcement.
Electronic signatures and electronic delivery of transaction documents are governed by a separate electronic communications consent. These Terms do not independently provide consent to electronic records, recurring payments, or consumer-report access.
Back to top11. Vehicle Location Technology
Some financed vehicles may include a disclosed GPS or vehicle-location device. The applicable GPS disclosure or consent and signed transaction documents govern installation, any charge, collection, and use of location information.
After delinquency or repossession authorization, Zoom may use a vehicle-location or license-plate-recognition provider to locate collateral. Zoom does not currently use starter-disable functionality. These Website Terms do not independently authorize GPS installation or use.

Zoom's information practices are described in the Online Privacy Policy and, where applicable, the Financial Privacy Notice.
The Website may link to AppCore, RouteOne-related services, PayNearMe, AnnualCreditReport.com, Google Maps, dealer websites, and other third-party resources. Zoom does not control an independently operated third party's content, availability, accessibility, security, terms, privacy practices, products, or services. A link does not necessarily constitute an endorsement or warranty.

You may not use the Website to:
- Violate law, commit fraud, impersonate another person, or submit information without authorization.
- Access another customer's account or attempt unauthorized access to a system, credential, or record.
- Introduce malware, interfere with Website operation, circumvent security controls, or test vulnerabilities without written authorization.
- Scrape, harvest, copy at scale, or use automated means to extract Website content or user information.
- Infringe intellectual-property, privacy, or other legal rights, or send unlawful, threatening, or abusive communications.
Zoom may investigate suspected misuse and cooperate with service providers, regulators, courts, and law enforcement as permitted by law.

The Website and its text, graphics, logos, designs, images, software, layout, trademarks, and other content are owned by or licensed to Zoom and protected by applicable law.
Zoom grants you a limited, revocable, nonexclusive, nontransferable right to use the Website for lawful personal or internal business purposes. Without written permission, you may not republish substantial content, create derivative works, use Zoom branding misleadingly, reverse engineer Website technology, remove proprietary notices, frame the Website, or commercially exploit its content.

Zoom attempts to keep Website content accurate and current, but information may contain errors, omissions, delays, or outdated material. Website content is not a substitute for a signed contract, official statement, payoff quote, title record, insurance record, required notice, or written payment arrangement.
The Website may be unavailable because of maintenance, updates, provider outages, technical failures, cybersecurity events, internet disruptions, or events outside Zoom's control. Zoom may change, suspend, or discontinue Website features.
To the fullest extent permitted by law, the Website is provided "as is" and "as available." Zoom disclaims implied warranties relating to the Website, including merchantability, fitness for a particular purpose, noninfringement, accuracy, availability, and security.
These disclaimers apply only to the Website. They do not eliminate Zoom's obligations under a signed transaction document or any duty or right that cannot lawfully be waived.

To the fullest extent permitted by law, Zoom and its owners, managers, officers, employees, contractors, and Website service providers are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from Website use, Website unavailability, reliance on general Website content, or an independently operated third-party service.
This limitation does not apply to Zoom's obligations under a signed financing or account agreement, properly received account payments, gross negligence, willful misconduct, fraud, privacy or security duties that cannot lawfully be limited, or other liability that cannot lawfully be excluded.
To the extent permitted by law, you agree to indemnify Zoom against third-party claims and reasonable expenses arising from your unlawful Website misuse, fraud, unauthorized use of another person's information, or infringement of another person's rights. You are not required to indemnify Zoom for Zoom's own wrongdoing or conduct protected by consumer law.

Zoom may update these Terms by posting a revised version with a new effective date. Changes apply prospectively to Website use after the revised Terms take effect and do not amend an existing Retail Installment Sales Contract or other signed transaction document.
Zoom may restrict or suspend Website or portal access when reasonably necessary for security, fraud prevention, legal compliance, system protection, or suspected misuse. Restricting Website access does not cancel an account, eliminate a payment obligation, waive a default, or prevent a customer from contacting Zoom by another available method.
Back to top18. Governing Law and General Terms
These Terms and Website-only disputes are governed by Minnesota law, without regard to conflict-of-law rules, except to the extent another law must apply and cannot be waived. A court proceeding concerning only the Website or these Terms must be brought in the state courts located in Hennepin County, Minnesota, or the United States District Court for the District of Minnesota, unless applicable law requires another forum.
This section does not govern a dispute arising under a Retail Installment Sales Contract or other transaction document. Any arbitration, governing-law, venue, class-action, or jury-trial provision in the applicable signed transaction document controls a dispute governed by that document.
If a provision of these Terms is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Zoom's failure to enforce a provision is not a waiver. You may not assign these Terms without Zoom's written consent. Zoom may assign them in connection with a merger, reorganization, transfer of Website operations, sale of assets, or other lawful transaction.
These Terms and the Online Privacy Policy are the entire agreement concerning Website use only. They do not constitute the entire agreement concerning a vehicle purchase, financing transaction, account, lien, payment, repossession, or deficiency.
